These Terms of Use ("Terms") govern access to and use of the Al Ayman website, mobile applications and related services (collectively, the "Platform"). By creating an Account, clicking an acceptance control, or otherwise using the Platform where acceptance is requested, you agree to these Terms. Electronic contracts and electronic acceptance are recognised under applicable UAE law. If you do not agree, do not use the Platform.
1. About Al Ayman and Applicable Law
1.1 Al Ayman Services Gateway L.L.C-FZ ("Al Ayman", "Company", "we", "us" or "our") operates a technology marketplace that enables users in the United Arab Emirates to post service requests, receive responses from service providers and communicate in connection with those requests.
1.2 These Terms are governed by applicable laws of the United Arab Emirates and, where relevant, the laws and regulations applicable in the Emirate of Dubai. This includes, where applicable, UAE legislation governing electronic transactions, modern technology-based trade, consumer protection, commercial transactions, personal data protection, taxation and other matters relevant to the Platform.
1.3 Nothing in these Terms excludes or restricts any right or remedy that cannot lawfully be excluded or restricted under applicable UAE law.
2. Platform Role
2.1 Al Ayman provides technology that enables Clients and Providers to find and communicate with each other. Unless expressly stated otherwise, Al Ayman does not itself perform the services advertised or requested through the Platform.
2.2 When a Client selects a Provider by accepting that Provider's Response, the Client and Provider enter into a direct agreement for the underlying service (the "Service Agreement"). Al Ayman is not a party to that Service Agreement.
2.3 Providers are independent users of the Platform. They are not employees, agents, partners or representatives of Al Ayman merely because they use the Platform.
2.4 Al Ayman may verify information or documents submitted by a Provider, but such verification does not constitute a guarantee, endorsement or certification of the Provider or of any service. Providers remain responsible for the accuracy of their information and for maintaining all licences, permits and approvals required for their activities.
2.5 Nothing in this Section limits any responsibility that Al Ayman is required to bear under mandatory UAE law in its capacity as operator of the Platform.

4. Eligibility, Accounts and Verification
4.1 You must be at least 18 years old and have legal capacity to enter into binding agreements to register and use transactional features of the Platform.
4.2 You must provide accurate, current and complete information and keep your Account information updated. You are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your Account, except to the extent caused by Al Ayman.
4.3 A person registering or using an Account for a legal entity represents that they are authorised to act for and bind that entity.
4.4 Providers must hold and maintain all licences, permits, registrations and approvals required by applicable federal or emirate-level law for the services they offer. Al Ayman may request evidence and may restrict access to service categories or suspend relevant Platform functionality if satisfactory evidence is not provided.
4.5 Al Ayman may carry out reasonable identity, business, licence, fraud-prevention or compliance checks where necessary to operate the Platform, protect Users, or comply with applicable law. Personal data is handled in accordance with the Privacy Policy.
5. Orders, Responses and Service Agreements
5.1 A Client may publish an Order containing the information required by the Platform. Providers may submit Responses to Orders for services they are lawfully entitled to provide.
5.2 Registration, posting an Order, receiving Responses and selecting a Provider are free for Clients. Al Ayman does not charge Clients a fee for these Platform functions.
5.3 Certain Platform functions used by Providers are subject to Platform Fees. Provider fees, the events that trigger them, Wallet rules and applicable refund terms are governed by the Provider Agreement and Refund Policy. The applicable fee will be displayed to the Provider before the relevant paid action is completed.
5.4 When a Client accepts a Provider's Response, a Service Agreement is formed directly between that Client and Provider. The Order, accepted Response, Platform chat and any additional terms agreed between them may form evidence of the Service Agreement.
5.5 The Client and Provider are responsible for agreeing the material terms of their Service Agreement, including scope, price, payment terms, timing, materials, cancellation terms and any warranties or other conditions relevant to the service.
5.6 Payment for the underlying service is arranged and settled directly between the Client and Provider outside the Platform. Al Ayman does not collect, hold or deduct any commission from the price paid for the underlying service under the current Platform model.
5.7 Orders may be cancelled in accordance with functionality available on the Platform. Any treatment of Provider Platform Fees following cancellation is governed by the Provider Agreement and Refund Policy.
6. Provider Fees and Provider Agreement
6.1 Clients do not require a Wallet and are not charged Platform Fees under the current Platform model.
6.2 Providers may be required to maintain a Platform Wallet or equivalent account balance for payment of applicable Platform Fees.
6.3 The specific Provider fees, Wallet funding and withdrawal rules, refunds, fee changes and other payment conditions applicable to Providers are set out in the Provider Agreement and Refund Policy.
6.4 A Provider must be given access to the applicable Provider Agreement and must accept it electronically before activating or using paid Provider functionality. The then-current Provider Agreement will remain accessible through the Provider's account.
6.5 Al Ayman may change Provider Platform Fees prospectively in accordance with the Provider Agreement and applicable law. A fee applicable to an action will be disclosed before that paid action is completed.
6.6 Each Client and Provider remains responsible for payment arrangements and any tax obligations arising from the Service Agreement between them.
7. Provider Responsibilities
7.1 Providers are responsible for ensuring that every service they advertise, offer or perform is lawful and falls within the scope of all licences, permits, professional registrations and other approvals applicable to them.
7.2 Providers must provide accurate information about their identity, business, qualifications, experience, service offering and licensing status, and promptly update material changes.
7.3 Providers are responsible for the performance, quality, safety and legality of their services and for compliance with applicable professional, health, safety, employment, tax and other regulatory requirements.
7.4 Additional obligations applicable to Providers are set out in the Provider Agreement. The Provider Agreement applies only to Providers who accept it.
8. User Conduct
Users must not misuse the Platform. In particular, Users must not:
- provide false, misleading or fraudulent identity, business, licensing, Order, Response, rating or review information;
- offer or request services that are unlawful or for which a required licence or approval is not held;
- use the Platform for fraud, money laundering, terrorist financing, unlawful transactions or other criminal activity;
- harass, threaten, abuse, discriminate against or unlawfully defame another person;
- upload malware, attempt unauthorised access, interfere with Platform security, scrape the Platform without permission, or otherwise disrupt its operation;
- infringe intellectual property, privacy or other rights of another person;
- send unlawful spam or use information obtained through the Platform for unauthorised marketing; or
- share contact information before acceptance of a Response where the purpose is to circumvent applicable Platform Fees or Platform rules.
Al Ayman may remove content, restrict functionality, suspend an Account or terminate access where reasonably necessary to enforce these Terms, protect Users or the Platform, investigate suspected misconduct, or comply with applicable law. Provider Wallet amounts are treated in accordance with the Provider Agreement, Refund Policy and applicable law; breach of these Terms does not by itself transfer ownership of unused Provider funds to Al Ayman.
9. Consumer Rights
9.1 Clients who qualify as consumers retain all mandatory rights available to them under applicable UAE consumer protection law. Nothing in these Terms or any Platform policy is intended to waive or restrict a non-waivable consumer right.
9.2 Where a complaint concerns the underlying service supplied by a Provider, the Provider remains responsible for obligations imposed on that Provider by applicable law and the Service Agreement. Al Ayman may provide reasonable Platform-level assistance where appropriate, without becoming a party to the Service Agreement.
9.3 A consumer may also use complaint or dispute channels made available by the competent UAE consumer protection authority where applicable.
10. Content, Reviews and Intellectual Property
10.1 Users retain ownership of content they submit. By submitting content, a User grants Al Ayman a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and otherwise use that content only as reasonably necessary to operate, secure and improve the Platform and provide the functionality requested by the User, subject to the Privacy Policy where content contains personal data. Any materially separate marketing use of non-public User content will require an appropriate legal basis or permission.
10.2 Users must have the rights necessary to submit their content and must not upload unlawful or infringing material.
10.3 Reviews must reflect genuine experiences and must not be fabricated, purchased, manipulated or submitted in exchange for an undisclosed benefit. Al Ayman may moderate or remove reviews that violate these Terms or applicable law.
10.4 The Platform software, branding, design and other materials owned by Al Ayman or its licensors are protected by applicable intellectual property law. No rights are granted except the limited right to use the Platform in accordance with these Terms.
11. Privacy and Communications
11.1 Al Ayman processes personal data in accordance with its Privacy Policy. Cookies and similar technologies are described in the Cookies Policy.
11.2 Platform chat and other communications may be subject to proportionate automated or human moderation for security, fraud prevention, enforcement of Platform rules, complaint handling and compliance with applicable law, as described in the Privacy Policy.
11.3 Transactional and service communications necessary to operate an Account or provide requested Platform functionality may be sent electronically. Marketing communications will be handled in accordance with applicable law and the User's communication preferences.
12. Availability and Disclaimers
12.1 Al Ayman will use reasonable efforts to operate the Platform, but does not guarantee uninterrupted, error-free or continuously available access. Maintenance, security incidents, third-party service failures or events beyond reasonable control may affect availability.
12.2 To the maximum extent permitted by applicable law, Al Ayman does not guarantee the identity, reliability, quality, safety, legality, availability or suitability of any User or underlying service solely because the User or service appears on the Platform.
12.3 Users are responsible for exercising reasonable judgment before entering into a Service Agreement and for checking information material to their decision, including licensing where relevant.
13. Liability and Indemnity
13.1 Nothing in these Terms excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable UAE law.
13.2 Subject to clause 13.1, Al Ayman is responsible for its own obligations relating to operation of the Platform, but is not responsible for a Client's or Provider's performance or non-performance of a Service Agreement, or for losses arising solely from the acts or omissions of another User.
13.3 To the extent permitted by applicable law, Al Ayman will not be liable for indirect or consequential loss, loss of profit, loss of business opportunity or loss caused by circumstances outside its reasonable control.
13.4 A User is responsible for losses, claims or reasonable costs suffered by Al Ayman to the extent directly caused by that User's unlawful conduct, material breach of these Terms, infringement of third-party rights, or provision of services without required legal authority. This clause does not create liability beyond what is permitted by applicable law.
14. Suspension, Termination and Account Closure
14.1 A User may request closure of an Account at any time, subject to completion of pending obligations, unresolved disputes or legally required retention or restrictions.
14.2 Al Ayman may restrict, suspend or terminate an Account where reasonably necessary because of a material or repeated breach of these Terms, suspected fraud or unlawful activity, a security risk, loss of a required licence, or a requirement of a competent authority.
14.3 Where practicable and lawful, Al Ayman will provide notice of a material Account action and a reasonable opportunity to contact support. Immediate action may be taken where necessary to protect Users, the Platform, funds, evidence, or to comply with law or an authority's direction.
14.4 Any unused Provider Wallet amount is treated in accordance with the Provider Agreement, Refund Policy and applicable law. Al Ayman may temporarily restrict access to an amount where reasonably necessary for a payment dispute, fraud investigation or legal requirement, but will not treat unused funds as forfeited merely because an Account is terminated.
14.5 Provisions which by their nature should survive termination, including accrued obligations, intellectual property, liability, disputes and applicable law, continue to apply.
15. Force Majeure
Neither Al Ayman nor a User will be liable for failure or delay in performing an obligation under these Terms to the extent caused by an event beyond that party's reasonable control, provided this does not exclude any liability or right that cannot be excluded under applicable law. This Section does not determine force-majeure rights or obligations under a separate Service Agreement between a Client and Provider. The affected party should take reasonable steps to mitigate the effect and resume performance when reasonably possible.
16. Governing Law and Disputes
16.1 These Terms are governed by the laws of the United Arab Emirates and, where applicable, the laws and regulations in force in the Emirate of Dubai.
16.2 Before commencing formal proceedings, the parties should first attempt in good faith to resolve a dispute by contacting the other party and allowing a reasonable opportunity for resolution.
16.3 Subject to any mandatory consumer right or jurisdiction that cannot lawfully be excluded, disputes arising out of or in connection with these Terms or use of the Platform shall be submitted to the competent courts of Dubai, United Arab Emirates.
16.4 Nothing in this Section prevents a consumer from submitting a complaint to a competent UAE consumer protection authority or exercising another mandatory statutory remedy.
17. Changes to These Terms
17.1 Al Ayman may update these Terms to reflect changes in law, the Platform, security requirements or business operations.
17.2 Material changes will be communicated through the Platform, by email, or another reasonable electronic method before they take effect where advance notice is required or reasonably practicable.
17.3 Where a change requires fresh consent under applicable law, Al Ayman will obtain that consent. Otherwise, continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by law.
18. General
18.1 These Terms, together with the Privacy Policy, Cookies Policy and Refund Policy, govern general use of the Platform. For Providers, the Provider Agreement additionally governs Provider-specific rights, obligations, Platform Fees and Wallet functionality.
18.2 If a provision is held invalid or unenforceable, the remaining provisions remain effective to the extent permitted by law.
18.3 A failure or delay in exercising a contractual right does not by itself waive that right.
18.4 Al Ayman may assign or transfer its rights and obligations in connection with a lawful corporate reorganisation, merger, acquisition or transfer of the Platform business, subject to applicable law. A User may not assign an Account or contractual rights under these Terms without Al Ayman's consent where the rights are personal to that User.
18.5 These Terms may be accepted electronically. Electronic records and communications may be used in connection with the Platform in accordance with applicable UAE law.
18.6 These Terms are prepared in English and may be translated into other languages for convenience and accessibility. To the extent permitted by applicable law, the English version will be used to interpret differences between translations. This does not override any mandatory Arabic-language requirement or the requirements of a competent UAE court or authority.
